Freelance apepp.info Contract Terms and Conditions of Agreement
In consideration of the mutual covenants made herein, all parties (before any Projects/Works commence), agree as follows:
Work/Projects: Andrew Peppin ("apepp.info") agrees to produce written materials (the "Work") at the request of the Client(s) for fees agreed upon in advance and turn in or deliver the Work by an agreed-upon deadline and submission method subject to current workloads of both apepp.info and any subcontractors sought on behalf of Client(s) projects. apepp.info agrees that he will be the sole author of the Work where applicable, which will be original work by apepp.info, free of plagiarism. apepp.info agrees to use reasonable care to ensure that all facts and statements in the Work are true and that the Work does not infringe upon any copyright, right of privacy, proprietary right, right of publicity or any other right of a third party. Outside work not done by apepp.info is sought "on behalf" of Client(s), and all Client(s) of apepp.info have duty to pay all subcontracted work directly to all subcontractors sought by apepp.info and in the event of project/Work cancellation. apepp.info will cooperate with Client(s) in editing and otherwise reviewing the Work prior to completion and launch. apepp.info will cooperate with Client(s) if any complaints, claims or litigation should arise regarding the Work.
Confidentiality: apepp.info acknowledges that he/she may be furnished or may otherwise receive or have access to information which relates to the Client(s) past, present or future products, vendor lists, creative works, marketing strategies, pending projects and proposals, and other proprietary information which gives the Client(s) an opportunity to acquire an advantage over its competitors who do not know or use it (the "Proprietary Information"). apepp.info agrees to preserve and protect the confidentiality of the Proprietary Information and all physical forms thereof, whether disclosed to apepp.info before Work is commenced or afterward. In addition, apepp.info shall not disclose or disseminate the Proprietary Information to any third party and shall not use the Proprietary Information for the benefit of any third party. Unless requested in writing by Client(s), apepp.info can use materials designed for Client(s), and final products, on apepp.info website (http://www.apepp.info) to illustrate apepp.info ability for portfolio purposes. Unless requested in writing by Client(s), apepp.info can incorporate a link to apepp.info website (http://www.apepp.info) into the footer of a web presence for Client(s) as credit for the Work.
Compensation: Client(s) agrees to pay apepp.info the following: The current studio hourly rate per hour via bank transfer or paypal. If the parameters of the Work change, or if it involves more time than estimated, apepp.info will inform Client(s) and they can renegotiate the rate. apepp.info will bill 50% of the total estimated cost before apepp.info begins the Work as a down payment and bill for the rest of acquired costs upon completion. apepp.info will submit the final invoice for the Work upon receiving approval from Client(s). If apepp.info has not received any comments or revisions within 7 days of submitting a completed draft, apepp.info will send the invoice via e-mail or post. Incidental expenses such as long distance phone calls, postage, courier service, are absorbed by apepp.info unless noted in estimate. apepp.info is responsible for the payment of all government and/or local taxes with respect to the services apepp.info performs for the Client(s) as an independent contractor. The Client(s) will not treat apepp.info as an employee for any purpose.
Payment and Collection: Unless otherwise specified in writing, invoices not paid within 30 days of the invoice date will accrue interest at 5% daily charge. Client(s) agrees to pay for each cheque returned for insufficient funds (or any other reason), £25 per occurrence or 25% of the value of each returned item, whichever is greater. Client(s) agrees to pay all reasonable lawyer's fees if any account is placed with a lawyer or legal service to obtain collection.
Client(s) Approval: apepp.info agrees to submit materials as specified to Client(s) by a due date specifed for each project. Client(s) is/are responsible for written approval of work ordered via submission of this contract before apepp.info proceeds with project. Upon acceptance of the Work, Client(s) accepts responsibility for any further processes in which Work is used (i.e., film output, printing, etc.) apepp.info is not responsible for errors occurring in Work or projects related to Work after acceptance of the Work by the Client(s).
Changes: Any verbal or written changes made by Client(s) to the scope of the Work following its initiation by apepp.info are subject to additional charges. Should such changes negate any part of the Work already completed at the time of the changes, Client(s) accepts responsibility for payment of the completed work and all services related to it, in addition to charges for the change(s) itself.
Cancellation: Both parties understand that Client(s) or apepp.info may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by either party. Upon written or verbal cancellation, Client(s) is/are responsible for payment for all expenses incurred and any work done toward the completion of the project based on the percentage of project completed. Should Client(s) cancel the project following its completion, Client(s) is/are responsible for full payment as per the quoted estimates plus all other expenses incurred.
All Client(s) of apepp.info from these terms and conditions (before any Projects/Works commence) assert that they have the authority to promise payment for the services rendered by apepp.info (Andrew Peppin) for the aforementioned Work within 30 days of dated invoice. This includes the payment to any subcontractors sought on behalf of Client(s) by apepp.info. They also (before any Projects/Works commence) assert that they have read, understood and agree to the "Freelance apepp.info Contract Terms and Conditions of Agreement" outlined above.
